Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") are a legal agreement between you and Solved Sorce LLC ("we," "us," or "our") governing your use of the VMAC application, website, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and that the information you provide is accurate.

3. Accounts

You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. The Service

Description

VMAC is a video switching application for macOS. The Service includes the desktop application, a web-based dashboard for account management and remote device control, real-time WebSocket relay infrastructure, a streaming API, and related backend services.

Free and paid plans

The Service offers a free plan and paid subscription plans. Paid plans provide additional features and higher usage limits. Plan details and pricing are displayed on our website and may change at any time. Changes to pricing will not affect your current billing period.

Device activations

Paid plans include a limit on the number of simultaneously activated devices. Activation limits are enforced through license keys managed by our payment provider.

5. Subscriptions and billing

Recurring billing

Paid subscriptions are billed on a recurring basis through our third-party payment provider. By subscribing, you authorize recurring charges at the applicable rate until you cancel.

Cancellation

You may cancel at any time through the account management portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Downgrades and feature access

If you cancel a paid plan or your subscription is otherwise terminated, access to paid features is revoked when the change is processed by our system. Device activations beyond the free plan limit may be deactivated. It is your responsibility to deactivate devices or export any relevant configuration before downgrading.

Failed payments

If a payment fails, we may retry the charge according to our payment provider's policies. If payment cannot be collected after reasonable retries, your subscription may be downgraded or suspended and paid features will be revoked.

Right of withdrawal (EU/EEA)

If you are a consumer in the European Union or European Economic Area, you have the right to withdraw from a purchase within 14 days. By using the Service during the withdrawal period, you expressly consent to the immediate performance of the Service and acknowledge that you lose your right of withdrawal once the Service has been fully performed. Pricing changes

We reserve the right to change pricing with reasonable notice. Changes will not affect your current billing period. Continued use after a price change constitutes acceptance.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse-engineer, decompile, or disassemble the Service except as permitted by law
  • Use the Service to transmit malware, spam, or other harmful content
  • Circumvent usage limits, rate limits, or authentication mechanisms
  • Resell, sublicense, or redistribute the Service without written permission
  • Use automated means to access the Service beyond what the provided APIs allow

7. Streaming API

The Service provides a real-time streaming API for accessing switcher state, diagnostics, and control functions from the web dashboard. The API is provided for use with the Service and authorized integrations only. You may not use the API to build a competing product. We may impose rate limits and may revoke API access for abuse.

8. Intellectual property

The Service, including its code, design, branding, and documentation, is owned by Solved Sorce LLC and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of your content (device labels, organization names, configuration data). By using the Service, you grant us the right to process this content as necessary to provide the Service.

9. Third-party services

The Service integrates with third-party providers for infrastructure, payments, authentication, analytics, and error monitoring. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or practices of third-party services. A current list of our service providers is available upon request.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service relies on real-time WebSocket connections and third-party infrastructure; connectivity and latency may vary. You acknowledge that the Service is not designed for use in life-safety or mission-critical broadcast environments where a failure could cause harm.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLVED SORCE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, DATA, OR BROADCAST TIME, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Solved Sorce LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may stop using the Service and close your account at any time by contacting us. We may suspend or terminate your access at any time for violation of these Terms, prolonged inactivity, or at our discretion with reasonable notice.

Upon termination, your license to use the Service ends immediately. Sections that by their nature should survive termination (including liability, indemnity, and intellectual property) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas. You consent to personal jurisdiction in those courts.

15. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance. If you do not agree with updated Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
